Other details required include details of the company director’s occupation, nationality and other directorships held within the last five years.
Form 12. This is a declaration of compliance.
Form 117. You must send this form in before the company starts trading.
Registration fees. There are two registration fees to choose from. You can either pay the standard fee of £20 or you can pay £80 if you want to use the same-day service.
Instructing a solicitor or accountant to do it for you. Fees charged by these professionals vary and it’s worth shopping around to get the best quote. Not all solicitors will undertake company formations.
Purchasing a ready-made company. There are a number of businesses that specialise in selling off-the-shelf ready-made companies. These companies will, as the name suggests, be already formed and ready to trade complete with a company name.
You can if you wish change the company name provided of course the name hasn’t already been taken.

To change the company name you will need to:
- Convene either an annual general meeting or an extraordinary general meeting and pass a special resolution agreeing the new name.
- Send a signed copy of the resolution to Companies House together with a registration fee of 110, or 180 if you require same-day-service.
Businesses that sell ready-made companies can usually be found advertising in Exchange and Mart and on the Internet by searching under `ready-made companies for sale’.
When buying an off-the-shelf company make sure that the price includes a certificate that the business has never traded. Otherwise you could find yourself buying a trading business and inheriting its debts.
